Authorized Reseller Policy

We love working with independent shops, studios, educators, retailers, and distributors who want to help more people make more things.
This policy explains where and how CUT/SEW products may be resold, how our products and brand materials may be presented, and what we expect from our retail partners. Our goal is to protect customers, support responsible retailers, and make sure everyone receives genuine, complete CUT/SEW products.
By purchasing CUT/SEW products for resale, you agree to this policy and any additional terms provided by the distributor, wholesale platform, invoice, or ordering program you use.
1. Who This Policy Applies To
This policy applies to any business purchasing or offering CUT/SEW products for resale, including:
- Direct CUT/SEW wholesale account holders
- Retailers purchasing through an authorized CUT/SEW distributor
- Retailers using Faire, Shopify Collective, Replic, or another approved wholesale platform
- Online and brick-and-mortar shops
- Sewing studios, schools, and businesses selling products alongside classes
- Distributors or sales representatives formally authorized by CUT/SEW in writing
Purchasing a CUT/SEW product at retail does not automatically create an authorized reseller relationship or provide access to CUT/SEW’s wholesale pricing, marketing materials, or stockist benefits.
2. Reseller Eligibility and Approval
Authorized resellers must be legitimate businesses selling directly to end customers. Depending on the ordering channel, we may request:
- Your legal business name and contact information
- Your store address, website, or other customer-facing sales channel
- A current resale certificate, sales-tax registration, or equivalent documentation
- Information about the products and customers your business serves
- The names of any additional locations or websites where CUT/SEW products will be offered
Wholesale accounts are issued to the approved business and may not be transferred, shared, or used to purchase inventory for another company.
Please notify us if your business name, ownership, store location, website, or primary sales model changes.
CUT/SEW may approve or decline reseller applications at its discretion. Approval does not grant geographic exclusivity, a protected territory, or a guarantee that other retailers will not carry our products.
3. Approved Sources
To be represented as new, authorized CUT/SEW merchandise, products must be purchased:
- Directly from CUT/SEW through an approved wholesale account;
- Through an authorized CUT/SEW distributor or wholesale platform; or
- Through another source formally approved by CUT/SEW in writing.
Resellers may not purchase through a consumer promotion, retail discount, or customer account for the purpose of obtaining unauthorized resale inventory.
Ordinary retail accounts may not redistribute CUT/SEW products to other retailers. Wholesale distribution requires a separate written distribution agreement.

4. Approved Sales Channels
CUT/SEW products may be sold through the sales channels disclosed during your application or approved through your distributor, including:
- Your brick-and-mortar store;
- Your business’s own e-commerce website;
- Your sstudio, school, or classroom shop; and
- In-person pop-ups, conventions, trade shows, or community events operated under the same business name.
Please contact us before adding a new permanent store, e-commerce domain, or separately branded business.
CUT/SEW products may not be sold through third-party consumer marketplaces including Amazon, eBay, Walmart Marketplace, Temu, SHEIN, Etsy, TikTok Shop, Facebook Marketplace, or similar platforms.
Drop-shipping is permitted only through an official CUT/SEW program, such as Shopify Collective. Resellers may not list products they do not reasonably expect to be able to fulfill.
5. Product Condition and Presentation
CUT/SEW products must be sold new, complete, and in their original retail packaging unless they are clearly identified as store samples, opened merchandise, or otherwise not new.
Resellers may not:
- Photocopy, scan, reproduce, or manufacture CUT/SEW products;
- Remove or replace product labels, credits, instructions, warnings, barcodes, or identifying information;
- Split patterns, kits, or product sets into separately sold components;
- Repackage products in a way that obscures their CUT/SEW identity;
- Represent used, incomplete, damaged, or display products as new;
- Sell counterfeit, unauthorized, or materially altered versions of CUT/SEW products; or
- Make claims about a product that are false, misleading, or inconsistent with the product’s instructions.
A shop may open one or more products for display or demonstration, provided those copies are clearly marked and are not later sold as unopened merchandise.
CUT/SEW products may be included in fabric bundles, class packages, gift sets, or other retailer-created assortments as long as:
- The original CUT/SEW product remains complete and identifiable;
- Customers can clearly tell which components were produced by CUT/SEW;
- The bundle does not imply a collaboration or endorsement that does not exist; and
- Any included digital pattern is covered by a valid individual license.
6. Pricing and Promotions
Any manufacturer’s suggested retail price supplied by CUT/SEW is a recommendation only. Each reseller independently determines the prices at which it sells CUT/SEW products. CUT/SEW maintains a Minimum Advertised Price (“MAP”) policy to protect the value of our products, support responsible retailers, and maintain a fair and sustainable retail environment.
Current MAP pricing will be provided through CUT/SEW’s wholesale line sheets, ordering portal, distributor materials, or other written price lists. Unless CUT/SEW provides written authorization for a specific promotion, authorized resellers may not advertise, offer, or sell a new CUT/SEW product below its current MAP.
For purposes of this policy, “advertised, offered, or sold” includes prices presented or applied through:
- Retail websites and product listings;
- Shopping carts and checkout pages;
- Automatic, public, or customer-entered discount codes;
- Email, text-message, and social-media promotions;
- Paid advertisements and shopping feeds;
- Printed advertisements, catalogs, signs, and in-store displays;
- Third-party sales platforms;
- Rebates, credits, or retailer-funded discounts applied to the product; and
- Bundles or other promotions structured primarily to conceal a below-MAP price.
CUT/SEW may also authorize temporary promotional pricing. Authorization will identify the eligible products, approved price or discount, participating sales channels, and promotion dates. Promotional authorization ends automatically when the stated promotion period concludes.
A promotion offered by CUT/SEW on its own website does not automatically authorize resellers to offer the same price.
Resellers are responsible for ensuring that advertised discounts, comparison prices, and promotional claims comply with applicable laws. A current product may not be falsely described as discontinued, liquidation merchandise, a factory second, or permanently marked down.
7. Digital Products and Licenses
Digital sewing patterns, instructions, templates, videos, and other downloadable materials may be resold only through a CUT/SEW-approved digital reseller or licensing program.
Unless expressly permitted by a separate agreement, resellers may not:
- Purchase one digital file and distribute it to multiple customers;
- Email, upload, host, duplicate, or publicly share CUT/SEW files;
- Print and sell unauthorized copies of a digital pattern;
- Transfer a retailer login or download link to a customer;
- Remove copyright notices, credits, watermarks, or license information; or
- Create derivative digital products from CUT/SEW files.
Each end customer must receive their own valid license through the approved fulfillment process. Additional terms provided through Replic or another authorized digital platform also apply.
If a digital program’s terms differ from this general policy, the program-specific license controls for that transaction.
8. Patterns Used in Classes
We’re delighted when retailers use CUT/SEW products to support classes and community education.
Unless a separate classroom license says otherwise, each participant must receive their own lawful physical pattern or individual digital license. Purchasing one pattern does not authorize a teacher, shop, or school to photocopy, scan, project, distribute, or print copies for an entire class.
A teacher may use a separate copy for instruction and demonstration.
The purchase or resale of a pattern does not transfer CUT/SEW’s copyright or other intellectual-property rights. Any permission to sell finished items made from a pattern is governed by the license or terms included with that specific pattern.

9. Brand Names, Images, and Marketing Materials
Authorized resellers receive a limited, non-exclusive, revocable license to use CUT/SEW’s approved product photographs, product descriptions, logos, and retailer marketing materials solely to advertise genuine CUT/SEW products.
Resellers may:
- Resize or crop approved product images without materially changing the product;
- Adapt product descriptions for their shop while keeping factual product information accurate; and
- Identify themselves truthfully as a retailer carrying CUT/SEW products.
Resellers may not:
- Claim to be CUT/SEW, an official CUT/SEW location, or an exclusive retailer;
- Use CUT/SEW in a business name, domain name, marketplace username, or social-media handle;
- Register or claim CUT/SEW trademarks, designs, or confusingly similar names;
- Alter images in a way that misrepresents the product;
- Use CUT/SEW assets to promote counterfeit, copied, or unrelated products; or
- imply a sponsorship, partnership, certification, or endorsement that has not been granted.
Marketing assets remain the property of CUT/SEW and their respective creators. We may ask a reseller to update or remove outdated, inaccurate, or improperly used materials.
10. Orders, Payment, and Availability
Wholesale pricing, opening-order minimums, product availability, payment options, and shipping terms may vary by ordering channel. The terms shown at checkout or on the applicable distributor order, invoice, or purchase agreement govern that order.
For direct orders:
- Payment is due when the order is placed unless written payment terms have been approved in advance.
- Submission of an order does not guarantee acceptance or product availability.
- We may limit quantities, discontinue products, correct pricing errors, or decline an order before acceptance.
- Orders cannot be changed or canceled once fulfillment or production has begun.
- Shipping and delivery dates are estimates unless we expressly agree to a guaranteed date in writing.
Resellers are responsible for applicable taxes, customs charges, brokerage fees, import duties, and local compliance requirements.
Tax-exempt purchasers must provide current and accurate exemption or resale documentation. If documentation is missing, expired, or invalid, applicable tax may be charged.
11. Damages, Shortages, and Wholesale Returns
Please inspect wholesale shipments promptly after delivery.
Damaged, defective, incorrect, or missing products must be reported to the company or platform that fulfilled the order within seven calendar days of delivery. Include:
- The order or invoice number;
- A description of the problem;
- The affected product and quantity; and
- Clear photographs of the product, shipping carton, and packaging when applicable.
Please retain damaged products and packaging until the claim is resolved. Depending on the circumstances, the available remedy may be a replacement, account credit, or refund for the affected merchandise.
Wholesale merchandise is otherwise final sale. We do not accept returns for slow-selling inventory, ordering mistakes, overstock, customer returns, or changes in business circumstances unless agreed to in writing.
Products may not be returned without authorization. Unauthorized returns may be refused or returned at the sender’s expense.
Orders placed through a distributor or wholesale platform are also subject to that company’s claims and return procedures.
12. Retailer Responsibilities
The reseller is the seller of record for purchases made through its store and is responsible for:
- Providing accurate listings and product information;
- Collecting and remitting applicable taxes;
- Fulfilling customer orders;
- Maintaining appropriate privacy and e-commerce practices;
- Handling customer payment, shipping, return, and refund questions;
- Following applicable consumer-protection and product-safety laws; and
- Complying with the rules of each approved sales platform it uses.
Questions involving a customer’s transaction should generally be handled by the retailer that accepted payment. CUT/SEW is happy to assist with verified manufacturing defects, pattern corrections, and product-information questions.
If CUT/SEW issues a correction, safety notice, or product recall, resellers must promptly stop affected sales when requested and reasonably cooperate with customer notification or corrective action.
13. Suspension or End of Reseller Status
CUT/SEW may suspend ordering privileges, revoke authorized reseller status, or decline future orders for reasons including:
- Nonpayment or fraudulent activity;
- Use of an unauthorized sales channel;
- Redistribution to other retailers without authorization;
- Sale of counterfeit, copied, incomplete, or materially altered products;
- Misuse of CUT/SEW intellectual property;
- False or misleading representations;
- Failure to maintain accurate business or tax information;
- Conduct that creates a material customer-safety, legal, or authenticity concern; or
- Repeated or material violation of this policy.
When reasonable, we will contact the reseller and provide an opportunity to correct the issue. Serious violations may result in immediate suspension.
Ending an account does not cancel amounts already owed. Access to wholesale pricing, retailer-only materials, official stockist status, and future purchasing ends when authorization is withdrawn.
Unless CUT/SEW provides different written instructions because of a safety, authenticity, or legal concern, genuine inventory already purchased may be sold through the reseller’s previously approved channels. The business may no longer describe itself as an authorized CUT/SEW stockist after authorization ends.
14. Other Applicable Terms
This policy works together with:
- CUT/SEW’s website Terms of Service;
- Product-specific licenses;
- Digital reseller or classroom licensing terms;
- Accepted invoices and purchase orders;
- Written distributor agreements; and
- The terms of the wholesale platform through which an order is placed.
If an order-specific written agreement directly conflicts with this policy, the more specific agreement controls for that order.
15. Policy Updates
We may update this policy as our products, sales channels, and wholesale programs change. Material updates will apply prospectively, and we will make reasonable efforts to notify current direct wholesale account holders.
Placing a new wholesale order after an updated policy takes effect constitutes acceptance of the updated policy.
